The Community Schemes Ombud Service Act (Act 9 of 2011) was promulgated on 11 June 2011 and provides for the establishment of the Community Schemes Ombud Service (“CSOS”) as a public entity. The CSOS has been classified as a Schedule 3A Public Entity in terms of the Public Finance Management Act (Act No.1 of 1999) (PFMA)
Job Description
  • Provide expert guidance and support to the Board, committees, and Executive Management on governance and legal matters.
  • Facilitate Board strategy sessions, efficacy reviews, and ensure effective alignment of Board and Executive functions.
  • Ensure statutory compliance and manage legal, governance, and risk frameworks.
  • Oversee meeting management, minute-taking, and reporting for shareholders and Board meetings.
  • Manage Board member tenure, auditor appointments, and reporting obligations to Parliament and stakeholders.
  • Lead litigation matters with external counsel support.
  • Develop and maintain business ethics, whistleblowing policies, and company codes of conduct.
  • Provide legal advice and risk management inputs on contractual negotiations.
  • Coordinate induction for new Board members and maintain statutory records and registers.
  • Represent the organisation externally to stay abreast of industry developments.
  • Lead and develop the Company Secretariat team to deliver high performance aligned with organisational goals.

 

Job Requirements
  • A minimum NQF level 8 formal qualification in Commerce / Law / Corporate Governance or equivalent.
  • Registration as a Chartered Secretary (CIS).
  • A Master’s Degree / MBA / MBL or equivalent will be an added advantage A minimum of 7 - 12 years’ experience in Company Secretariat roles at executive level in public sector organisations.
  • Extensive experience in rendering corporate governance, risk management, internal controls, legal advisory and relevant company secretarial functions to Governance Structures.
  • In-depth knowledge of the Companies Act, King IV Report on Corporate Governance, PFMA, CSOS Act, Treasury Regulations and other relevant legislation.
  • Exceptional communication skills; able to build and maintain trust with Board, CEO, and Executive Management.
